Terms of Use

IMPORTANT—PLEASE READ. By accessing or using HireIQ, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree, do not access or use the service.

1. Parties and limited authorization

These Terms govern access to HireIQ by invited users. “Spot Companies” means The Spot Companies and each of its present or future parents, subsidiaries, portfolio companies, commonly controlled entities, affiliates, owners, officers, directors, employees, contractors, agents, licensors, data providers, successors, and assigns (collectively, the “Spot Parties”). HireIQ is presently a private, non-commercial evaluation system and is not offered or licensed as a commercial product.

You receive a personal, limited, revocable, non-exclusive, non-transferable authorization to use HireIQ solely for legitimate, lawful internal recruiting evaluation on behalf of your authorizing organization. No other right is granted.

2. Professional data; no representation of completeness

HireIQ organizes professional information obtained from users, licensed data providers, public sources, cached records, and automated analyses. Source data may be incomplete, stale, inaccurate, unavailable, duplicated, misattributed, or inconsistent. A candidate’s absence, rank, score, contact status, or “unknown” field is not a statement about that person’s ability, character, availability, or suitability.

The Spot Parties do not create or independently verify all third-party data and make no representation that any profile, work history, credential, contact channel, score, inference, recommendation, or export is accurate, complete, current, lawful for a particular use, or fit for a particular purpose. Users must verify material facts directly from appropriate sources before outreach or any employment action.

3. Human review; no automated employment decision

HireIQ is a research and decision-support tool. It must not be used as the sole basis for hiring, rejection, compensation, promotion, discipline, termination, background screening, eligibility, or any other employment decision. Authorized users remain solely responsible for defining job-related criteria, reviewing source evidence, correcting errors, providing required notices or accommodations, documenting decisions, and exercising independent human judgment.

You may not use protected characteristics, proxies for protected characteristics, non-job-related personal information, or unlawfully discriminatory criteria. You are solely responsible for compliance with all applicable employment, anti-discrimination, accessibility, privacy, consumer-reporting, record-retention, notice, consent, and automated-decision laws.

4. Permitted and prohibited conduct

Authorized use is limited to good-faith internal recruiting activities within the access level assigned to you. Any unauthorized access, disclosure, copying, sale, transfer, reverse engineering, credential sharing, circumvention of technical or spending controls, bulk extraction outside approved workflows, re-identification, harassment, surveillance, unlawful profiling, competitive use, or use for personal, commercial, discriminatory, deceptive, or malicious purposes is strictly prohibited.

You may not attempt to access another user’s account or organization, introduce malicious code, test security without written approval, defeat rate limits, remove confidentiality markings, misrepresent HireIQ output as verified fact, or use information in violation of a source provider’s terms or applicable law. Suspected misuse may result in immediate suspension, preservation of audit evidence, and referral to appropriate authorities.

5. Confidentiality and security

HireIQ content, candidate information, search strategies, scores, notes, shortlists, credentials, exports, and system information are confidential and for internal purposes only. You must apply least-privilege access, protect credentials, use approved devices and channels, and promptly report suspected loss, disclosure, or compromise. Exporting data does not remove these obligations.

6. Third-party services and source restrictions

HireIQ may depend on third-party identity, hosting, database, data, enrichment, email, and document services. Those services may change, restrict, suspend, delay, charge for, or discontinue access without notice. The Spot Parties are not responsible for third-party availability, terms, security, acts, omissions, data quality, or downstream use. You must use all source links and retrieved information lawfully and in accordance with any applicable source restrictions.

7. Evaluation status; changes and availability

HireIQ is pre-commercial evaluation software and may contain errors, incomplete features, experimental workflows, interruptions, or material changes. The Spot Parties may modify, restrict, suspend, discontinue, or delete any feature, integration, content, account, search, cache, or access right at any time, with or without notice, subject to applicable law. No service level, continued availability, data retention, or recovery commitment is made.

8. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, HIREIQ AND ALL DATA, OUTPUTS, SERVICES, AND FEATURES ARE PROVIDED “AS IS,” “AS AVAILABLE,” AND “WITH ALL FAULTS.” THE SPOT PARTIES DISCLAIM ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF ACCURACY, COMPLETENESS, CURRENTNESS, TITLE, NON-INFRINGEMENT, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SECURITY, QUIET ENJOYMENT, AND RESULTS. NO ORAL OR WRITTEN INFORMATION CREATES A WARRANTY.

9. Assumption of risk and limitation of liability

You knowingly assume all risk arising from access to or use of HireIQ, candidate information, third-party data, recommendations, exports, and employment decisions. TO THE FULLEST EXTENT PERMITTED BY LAW, NO SPOT PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, CONSEQUENTIAL, OR RELIANCE DAMAGES; LOST PROFITS, OPPORTUNITY, SAVINGS, GOODWILL, OR DATA; EMPLOYMENT CLAIM; THIRD-PARTY CLAIM; OR COST OF SUBSTITUTE SERVICES, WHETHER BASED IN CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, STATUTE, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE AGGREGATE LIABILITY OF ALL SPOT PARTIES ARISING OUT OF OR RELATING TO HIREIQ WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100). Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

10. Indemnification and hold harmless

To the fullest extent permitted by law, you agree to defend, indemnify, release, and hold harmless the Spot Parties from and against all allegations, claims, demands, investigations, proceedings, liabilities, judgments, settlements, penalties, fines, damages, losses, and costs (including reasonable attorneys’ and experts’ fees) arising out of or relating to your access, use, misuse, disclosure, export, employment decision, violation of law, violation of third-party rights or terms, breach of these Terms, or negligent, reckless, or willful conduct. This obligation survives termination of access.

11. Ownership, audit, and enforcement

HireIQ, its software, methods, interfaces, documentation, and non-user-specific analytics are owned by or licensed to the Spot Parties and are protected by law. No ownership transfers to you. Use may be logged and audited for security, cost control, compliance, quality, and enforcement. The Spot Parties may preserve and disclose records when reasonably necessary to enforce these Terms, protect rights or safety, investigate misuse, or comply with law.

12. Governing terms

These Terms constitute the entire agreement concerning HireIQ unless a signed written agreement expressly supersedes them. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remainder will continue in effect. Failure to enforce a provision is not a waiver. Illinois law governs without regard to conflict-of-law rules, and exclusive venue lies in the state or federal courts serving Cook County, Illinois, except where applicable law requires otherwise.

The Spot Parties may update these Terms by posting a revised effective date. Continued access after an update constitutes acceptance. Questions or legal notices must be directed to the HireIQ organization administrator.
